Agreement to Terms
By engaging Bearing for services or accessing our website at getbearing.co (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not engage our services.
Bearing is operated by Nick O'Connor (“we,” “us,” or “our”). These Terms apply to all clients and website visitors.
Service Description
Bearing is an AI-powered intelligence agency for franchise brokers. We map broker practices as intelligence systems and build custom AI around how each broker actually works. Our services include:
- Practice mapping — documenting your workflow, judgment rules, and matching logic as a system
- Intelligence Pipeline analysis — identifying your 9 core tasks and where AI fits
- Custom AI tool building — tools trained on your specific rules and style
- AI-generated deliverables: matching reports, scored shortlists, follow-up sequences, FDD analyses
- Ongoing optimization — capturing corrections to refine your AI tools over time
- Strategy calls and practice review sessions
Engagement and Eligibility
Eligibility
You must be at least 18 years old and legally able to enter into contracts. Our services are intended for franchise brokers and consultants operating in a professional capacity.
Engagement Process
Engagements begin with a free Practice Mapping (typically 3 meetings) where we map your practice, identify bottlenecks, and build your first AI tool. After the practice mapping, you may choose to continue with a paid monthly retainer. No payment is required during the initial practice mapping sessions.
Confidentiality
Information shared during practice mapping sessions and ongoing engagements is treated as confidential. We will not disclose your practice details, judgment rules, client information, or engagement specifics to third parties without your explicit consent.
Billing and Retainers
Service Tiers
Bearing offers three retainer tiers: Practice Intelligence ($500/month), Full Pipeline Intelligence ($1,200/month), and Brokerage Transformation ($2,000/month). Retainers are billed monthly via direct invoicing.
Free Practice Mapping
Every engagement starts with a free Practice Mapping (Meetings 1-3). You see the value before you pay anything. There is no obligation to continue to a paid retainer.
Cancellation
You may end your retainer at any time by notifying us. Upon cancellation, you retain access to all deliverables produced during your engagement. No partial refunds are issued for unused time within a billing cycle.
AI-Generated Deliverables
Nature of AI Outputs
Bearing uses artificial intelligence (powered by Anthropic's Claude) to generate matching reports, candidate assessments, scored shortlists, follow-up sequences, FDD analyses, and other deliverables. These outputs are informational tools to support your professional judgment — they are not legal advice, financial advice, or a substitute for your own due diligence.
Accuracy
AI-generated deliverables may contain errors, omissions, or inaccuracies. Matching reports, candidate assessments, and FDD analyses should be reviewed by you before being used in business decisions. We do not guarantee the accuracy, completeness, or reliability of any AI output.
Correction and Refinement
Your corrections to AI outputs are a core part of our process. When you identify errors or adjust recommendations, those corrections are captured and used to improve your custom AI tools. This correction data is specific to your engagement and is not shared with other clients.
No Training on Your Data
Data sent to our AI providers is used solely to generate your deliverables. Your data is not used to train third-party AI models.
PII Stripping
Before candidate data is sent to AI providers for processing, personally identifiable information (full names, email addresses) is stripped. AI scoring, matching, and pipeline analysis operate on financial profiles, preferences, and behavioral data only — without identifying information attached. Where personalized content must be generated (e.g., follow-up emails), only a first name is included.
Input Sanitization
All user-provided text is sanitized and length-validated before being processed by AI. AI responses are schema-validated to ensure outputs conform to expected formats. These safeguards protect against prompt injection attacks and help maintain the integrity of AI-generated deliverables.
Intellectual Property and Data Ownership
Your Data
You own your data. Your practice profile, judgment rules, matching logic, client information, and all deliverables produced during your engagement belong to you. You may request copies of all your data at any time.
Our Methodology
The Bearing methodology, frameworks (Intelligence Pipeline, practice mapping process), tools, and underlying technology are owned by us and protected by intellectual property laws. Your engagement grants you use of AI tools built for you during the engagement, but not our underlying methodology or technology.
Aggregated Insights
We may use anonymized, aggregated patterns from across engagements to improve our methodology (e.g., common pipeline bottlenecks, typical time-per-task benchmarks). This data is stripped of all identifying information and cannot be traced back to any individual broker.
Acceptable Use
You agree not to:
- Misrepresent AI-generated deliverables as your own independent professional analysis without disclosure
- Share your custom AI tools or deliverables with competing intelligence service providers
- Provide false or misleading information during practice mapping sessions
- Use our services for any unlawful purpose
- Reverse engineer our methodology, frameworks, or technology
Limitation of Liability
To the maximum extent permitted by law, Bearing and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from our services, including but not limited to:
- Business decisions made based on AI-generated deliverables
- Inaccuracies in matching reports, candidate assessments, or FDD analyses
- Lost revenue, deals, or business opportunities
- Service interruptions or data loss
Our total liability for any claim arising from our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Bearing and its operator from any claims, damages, or expenses arising from: (a) your use of AI-generated deliverables, (b) your violation of these Terms, (c) actions taken based on our deliverables, or (d) information you provide during engagements.
Termination
Either party may end the engagement at any time. We may discontinue services if you violate these Terms or engage in conduct harmful to our business. Upon termination, you retain all deliverables produced during your engagement. Your practice data and client information will be available for export for 90 days, after which it will be permanently deleted unless you request otherwise.
Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email. Continued engagement after changes take effect constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in California.
